End User Licence Agreement
Last updated: 2 September 2026. This End User Licence Agreement (EULA) governs access to and use of ANOVYR, including ANOVYR Finance, its hosted application, integrations and related services.
1. Agreement
By creating an account, accessing ANOVYR, connecting an accounting system, or otherwise using the service, you agree to this EULA. If you use ANOVYR for an organisation, you confirm that you are authorised to accept these terms and to provide or connect the data used by that organisation.
Where a separate written pilot, subscription, data processing or commercial agreement applies, that agreement takes precedence to the extent of any conflict with this EULA.
2. Licence
ANOVYR grants you a limited, non-exclusive, non-transferable and revocable right to access and use the service for your organisation's internal business purposes, subject to this EULA and any applicable pilot or subscription terms. No ownership in the ANOVYR software, models, interfaces, documentation or other intellectual property is transferred to you.
3. Accounts and authorised users
You must provide accurate account information, keep login credentials secure and use ANOVYR only through accounts and organisations you are authorised to access. You are responsible for activity carried out through your account except to the extent caused by ANOVYR's failure to apply reasonable security controls.
You must notify ANOVYR promptly if you believe an account, connected service or credential has been compromised.
4. Connected accounting services
ANOVYR can connect to third-party accounting services, including QuickBooks Online, using the authorisation mechanisms made available by those providers. You must only connect an accounting organisation where you have authority to grant ANOVYR access to the relevant data.
ANOVYR Finance is designed to read accounting data for analysis and investigation. It is not designed to initiate payments or move money through QuickBooks. Connections may be disconnected from ANOVYR, and access may also be revoked through the relevant accounting provider.
Your use of a third-party service remains subject to that provider's own terms and policies. ANOVYR is an independent service and is not endorsed by or affiliated with Intuit Inc. Intuit and QuickBooks are trademarks of Intuit Inc.
5. Customer data
You retain ownership of data you or your authorised integrations provide to ANOVYR. You grant ANOVYR the rights necessary to host, process, secure, transform and analyse that data solely to provide, maintain, protect and improve the service for authorised users, meet legal obligations and prevent abuse.
ANOVYR's handling of personal data and accounting-provider data is described in the Privacy Policy. ANOVYR does not acquire ownership of your QuickBooks accounting data by receiving it through an authorised connection.
6. Permitted and prohibited use
You may use ANOVYR for legitimate financial review, anomaly detection, investigation, control testing and related internal business purposes. You must not use the service to break the law, access another organisation's data without permission, defeat security controls, probe or reverse engineer the service except where such restriction is prohibited by law, introduce malicious code, overload the service, or use ANOVYR to make unlawful or solely automated decisions about individuals.
7. Findings and professional judgement
ANOVYR identifies patterns, anomalies and investigation priorities. A finding, score, alert or generated explanation is not proof of fraud, loss, misconduct or accounting error. Outputs must be reviewed by appropriately authorised personnel and, where appropriate, qualified accountants, auditors, legal advisers or other professionals before action is taken.
ANOVYR does not provide an audit opinion, legal advice, tax advice or regulated financial advice.
8. Pilot and evolving functionality
Features supplied as part of a private pilot, beta or preview may change, contain defects or be withdrawn. Pilot users should follow the agreed data scope and should not rely on pilot functionality as the sole control for preventing or detecting financial loss.
9. Availability and third-party dependencies
ANOVYR aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. Integrations depend on third-party APIs, authentication services and provider availability. ANOVYR is not responsible for outages, changes or restrictions imposed by a third-party provider, although it will take reasonable steps to handle integration failures safely.
10. Intellectual property
ANOVYR and its licensors retain all intellectual property rights in the service, including its software, interfaces, branding, documentation, detection methods and service-generated materials, excluding customer data and third-party materials. Feedback may be used to improve the service provided that doing so does not transfer ownership of customer data to ANOVYR.
11. Suspension and termination
Access may be suspended or terminated where reasonably necessary to protect the service or other users, respond to a security incident, comply with law, address serious or repeated breach of this EULA, or when a pilot or subscription ends. You may stop using the service and disconnect third-party integrations at any time.
Following termination, data will be handled in accordance with the Privacy Policy, any applicable written agreement and legal retention requirements.
12. Disclaimers
To the fullest extent permitted by law, ANOVYR is provided on an "as available" basis. ANOVYR does not warrant that every anomaly, duplicate, overpayment, control failure or fraudulent transaction will be identified, or that every finding will prove to be a genuine issue. Nothing in this EULA excludes rights or warranties that cannot lawfully be excluded.
13. Liability
Nothing in this EULA excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Subject to those exceptions and any separate written agreement, ANOVYR will not be liable for indirect or consequential loss, loss of profits, revenue, goodwill or anticipated savings arising solely from reliance on an unverified ANOVYR finding.
Any specific liability cap or commercial remedy agreed for a paid service or pilot will be set out in the applicable written agreement.
14. Changes
ANOVYR may update this EULA as the service develops or legal requirements change. Material changes will be identified by updating the date above and, where appropriate, notifying affected users. Continued use after an updated EULA becomes effective constitutes acceptance where permitted by law.
15. Governing law
Unless a separate written agreement states otherwise, this EULA is governed by the laws of England and Wales and the courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply to you.
